NOTE TO ATTORNEY (remove before going live): This is a first draft prepared by the GroupMiles team to be reviewed and revised by a licensed attorney prior to commercial launch. Areas marked [ATTORNEY: REVIEW] require particular scrutiny — chiefly the motorcycle-activity disclaimer (§9), liability cap (§14), dispute resolution including any arbitration and class-action waiver provisions (§16), and the multi-tenant data ownership framing (§8). By creating an account, by accessing the Service, or by paying for a subscription to GroupMiles, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are accepting these Terms on behalf of a motorcycle club, association, organization, or other entity ("Club"), you represent that you have authority to bind that entity, and "you" includes that entity throughout these Terms.
We may update these Terms — see §17 for how changes work.
GroupMiles is a software-as-a-service platform that helps motorcycle clubs and individual riders organize group rides, log mileage, manage members, publish events, and produce mileage certificates. The Service is provided over the public internet via the web (and may be extended to mobile applications). Specific features evolve over time; the description above is illustrative, not contractual.
To use the Service you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction. The Service is not directed to children, and you may not allow minors to use your account.
When you create an account you agree to:
We may suspend or close an account that we reasonably believe has been compromised, or that has been used in violation of these Terms.
Plans and pricing. The Service is offered on a paid subscription basis after a free trial. Current pricing (as of the Effective Date above):
Prices may change with notice as described in §17.
Payment processing. All payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's own terms of service, available at stripe.com. PBSD does not store full credit card numbers; we receive only the tokens and metadata that Stripe returns.
Auto-renewal. Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual) at the then-current price. You may cancel future renewals at any time from your account settings; cancellation takes effect at the end of the current paid period.
Refunds. Except where required by law, subscription fees are non-refundable. Mid-period cancellations stop the next renewal but do not refund the current period.
Trial conversion. If you do not cancel before your 30-day free trial ends, your card will be charged for the plan you selected at signup.
Failed payment. If a payment fails, we may retry for up to fourteen (14) days, after which your account moves to a read-only state. Re-entering valid payment information restores full access.
Founding-club exemption. Certain founding-club accounts may be permanently exempted from billing as separately documented; this exemption is at PBSD's discretion and does not create a right to a similar exemption for any other Club.
You retain ownership of the content you upload to the Service — club logos, photos, ride routes, member rosters, mileage logs, certificates, and similar material ("User Content"). By uploading User Content, you grant PBSD a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process the User Content solely for the purpose of operating and improving the Service for you and your Club. PBSD does not claim ownership of User Content and does not sell User Content to third parties.
You represent that you have the rights to upload anything you upload — including, for example, photographs of identifiable individuals where applicable, club logos and trademarks, and route information.

GroupMiles is a multi-tenant Platform. Each Club's data is logically isolated from every other Club's data and is accessible only to that Club's members, officers, and owners according to roles configured by the Club. PBSD operates the Platform and has system-level access for support, security, and platform-improvement purposes, but PBSD does not share one Club's data with another Club.
Individual members may have privacy controls within the Club (for example, opting out of contact-info display); those controls operate within the Club, not across Clubs.
GroupMiles is a software platform. Riding motorcycles, organizing group rides, and participating in events organized through the Platform are activities that carry inherent risks, including the risk of serious injury or death. PBSD does not organize, lead, supervise, or insure any ride.

PBSD owns the GroupMiles platform, including software, design, and documentation. "GroupMiles®" and "Ride Captains and Tail-Gunners" are trademarks of Mark Turkel. You receive no rights in PBSD's or Mr. Turkel's intellectual property other than the limited right to use the Service while your subscription is active.
PBSD welcomes feedback. By submitting feedback or suggestions about the Service, you grant PBSD an unrestricted right to use that feedback without compensation or attribution.
Your privacy is governed by our Privacy Policy, available at [Privacy Policy URL — to be added before launch]. The Privacy Policy is incorporated into these Terms by reference.
The Service relies on third-party services including, without limitation, Stripe (payment processing), Cloudflare (content delivery and storage), Google (maps), and Twilio (SMS). PBSD is not responsible for the practices of those third parties; their own terms and privacy policies apply to your use of their services through GroupMiles.
By you. You may cancel your subscription at any time from your account settings. Cancellation stops future renewals; access continues through the end of your paid period.
By us. We may suspend or terminate your access for material violation of these Terms, for non-payment, for activity that risks harm to other users or to the Service, or to comply with law. Where reasonably possible we will give notice and an opportunity to cure.
Effect of termination. On termination, your right to use the Service ends. We will retain User Content for a reasonable period to allow export and to meet legal obligations, after which we may delete it. You can export your Club data at any time before termination from your account settings.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. PBSD does not warrant that the Service will be error-free, secure against every attack, or available without interruption.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply to the maximum extent permitted by law.
To the maximum extent permitted by law:
These limits apply regardless of the legal theory under which the claim is brought.
You agree to indemnify and hold harmless PBSD, its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your User Content, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any ride, event, or activity organized or recorded through the Service.
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration is the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.
Optional provisions for attorney to evaluate: a binding arbitration clause (AAA or JAMS commercial rules), a class-action waiver, and a small-claims-court carve-out. PBSD has not included these in this draft pending counsel's recommendation.
We may update these Terms from time to time. When we do, we will:
Continued use of the Service after the Effective Date of an updated version constitutes acceptance of the updated Terms.
Entire agreement. These Terms (together with the Privacy Policy and any order forms or written agreements signed between you and PBSD) are the entire agreement between you and PBSD regarding the Service.
No waiver. PBSD's failure to enforce any provision does not waive its right to do so later.
Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
Assignment. You may not assign these Terms without PBSD's written consent. PBSD may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for delay or failure caused by events outside its reasonable control.
